SimploMail Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SimploMail website and email sending services (the "Service"), operated by 1048035 B.C. LTD., doing business as SimploMail ("SimploMail," "we," "us," or "our").
By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

2. Eligibility
You must be at least 16 years old and have the legal authority to enter into a binding agreement. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Description of the Service
SimploMail provides a pay-as-you-go email sending platform for newsletters, product updates, community emails, marketing campaigns, and announcements.
The Service operates in a shared IP environment and requires proper domain authentication, including SPF, DKIM, and DMARC setup. API access, SMTP access, and attachments are not supported. Automation workflows, subscriber segments, scheduling, HTML emails, and embedded images are supported.
We may modify, suspend, or discontinue features at any time.
4. Account Registration
To use the Service, you must create an account, verify your email address, and authenticate your sending domain. You must provide accurate and complete information.
You are responsible for maintaining the security of your account credentials. You may not create multiple accounts without written permission. We reserve the right to review or refuse account activation at our discretion.
5. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy and Anti-Spam Policy, which are incorporated into these Terms.
You agree not to send unsolicited or unlawful email, use purchased, rented, scraped, or harvested lists, engage in cold outreach, send phishing or malicious content, or attempt to circumvent enforcement systems.
We actively monitor sending behavior. Violations may result in warning, sending pause, suspension, or termination. Severe violations may result in immediate termination without notice.
6. Shared Infrastructure and Deliverability
SimploMail operates in a shared IP environment. To protect all users, we monitor bounce rates, complaint rates, and engagement signals. Accounts exceeding a 4% bounce rate or a 0.01% complaint rate may be paused or suspended.
We may restrict or pause sending at any time to protect deliverability. We do not guarantee inbox placement or deliverability. "Delivered" does not mean inbox placement.
7. Credits and Payments
SimploMail operates on a prepaid credit model. Pricing is displayed on our website and may change.
Credits are refundable within 14 days of purchase if unused. Credits used for sending are non-refundable. Accounts terminated for policy violations are not eligible for refunds. Credits are non-transferable.
Payments are processed by Stripe. We do not store credit card information. Taxes are applied where required by law.
8. Beta Status
SimploMail may operate in beta. During beta, we do not provide uptime or availability guarantees. Features may change without notice. Free credits may be provided at our discretion. We may modify or end the beta period at any time.
9. Intellectual Property
You retain ownership of the content you send through the Service. You grant SimploMail a limited license to process, transmit, and store your content as necessary to provide the Service.
All software, branding, and platform materials remain the property of SimploMail.
10. Data and Privacy
Your use of the Service is governed by our Privacy Policy. We process personal data in accordance with applicable laws, including PIPEDA, CASL, CAN-SPAM, GDPR where applicable, and other relevant privacy laws.
We host data on infrastructure located in the United States.
11. Security
We implement reasonable technical and organizational safeguards. Sensitive information is encrypted at rest where appropriate. Email transmission uses TLS where supported.
In the event of a data breach, we will notify affected users without undue delay as required by applicable law.
12. Service Interruptions
We may suspend or interrupt the Service for maintenance, security incidents, abuse prevention, infrastructure protection, or legal compliance. We are not liable for service interruptions.
13. Termination
You may terminate your account at any time.
We may suspend or terminate accounts for policy violations, to protect system integrity, for legal compliance, or for abuse or fraud.
Unused credits remain subject to the refund policy. Account data will be deleted within 30 days of termination unless retention is required by law.
14. Limitation of Liability
To the maximum extent permitted by law, SimploMail's total liability arising out of or related to the Service shall not exceed the total amount paid by you in the twelve months preceding the claim.
We are not liable for indirect or consequential damages, lost profits, loss of data, loss of business opportunities, or deliverability issues caused by recipient mail servers.
15. Indemnification
You agree to indemnify and hold harmless SimploMail and its officers, directors, and employees from claims arising out of your misuse of the Service, violation of these Terms, violation of applicable laws, or content you send through the Service.
16. Modifications to These Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide reasonable notice at least 14 days before the changes take effect.
Immediate changes may be made for legal compliance, security, abuse prevention, or infrastructure protection.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
